What is PEC for Companies in Italy?

The Certified Electronic Mail (PEC) system is a legally recognized form of digital communication in Italy, equivalent to a registered letter. It is essential for businesses as it ensures official and verifiable communication with government authorities, partners, and clients.


Current PEC Obligations for Companies in Italy

Under current Italian law, all companies must have a PEC address and register it with the Companies Register at the time of incorporation.

This requirement applies to both newly established and existing businesses, ensuring that official communications are secure and traceable.

Companies that fail to maintain an active PEC address may face administrative penalties and risk being unable to complete essential business operations, such as filing annual reports or engaging in contractual agreements with public authorities.


Understanding the new PEC Obligation for Company Directors in Italy

This requirement stems from the 2025 Budget Law, specifically the modification of Article 5, paragraph 1, of Legislative Decree No. 179/2012.

On March 12, 2025, the Italian Ministry of Enterprises and Made in Italy (MIMIT) issued an official note clarifying the new obligation for company directors to register their digital domicile (PEC) with the Companies Register.


Who is Affected by This New Regulation?

With the new legislative update, all directors of companies incorporated in Italy, regardless of the corporate structure (whether partnerships or corporations), must obtain and communicate their PEC address to the Companies Register. Exemptions apply to non-commercial corporate forms, such as simple partnerships, consortia, and certain enterprise networks.


How to Obtain a PEC in Italy?

To comply with this new requirement, directors must follow these steps:

  1. Choose a PEC provider: Several authorized providers offer PEC services, including Aruba, Poste Italiane, and InfoCert.
  2. Register the PEC address: The director must submit personal identification documents and complete the registration process with the provider.
  3. Notify the Companies Register: Once the PEC is activated, it must be formally registered through the Italian Chamber of Commerce portal.

Deadline for Compliance

For companies established before January 1, 2025, the deadline to submit the PEC details of their directors is set for June 30, 2025. Failure to comply may result in penalties and administrative sanctions.
